Accommodation Partner Agreement
This is the standard agreement between AALABU LIMITED and an accommodation provider distributing its property through aAlabu. If you have been invited to list a property with aAlabu, please review this Agreement — your authorised representative will be asked to accept it before your property can take real paid bookings.
1. Parties
This Agreement is between AALABU LIMITED (company number 16660516, registered office Office 13953, 182–184 High Street North, East Ham, London, United Kingdom E6 2JA) ("aAlabu") and the accommodation-provider legal entity identified in the Commercial Schedule ("the Property").
2. Definitions
"Platform" means aAlabu's booking website/application. "Traveller" means a customer booking accommodation through the Platform. "Authorised Terms" means the inventory, rates, occupancy, restrictions, and policies the Property has supplied or approved for distribution through the Platform. "Accommodation Amount" means the accommodation price (excluding any transfer amount) charged by aAlabu for a Booking. "Commercial Schedule" means the property-specific schedule forming part of this Agreement.
3. Appointment and commercial agency
The Property appoints aAlabu as its commercial agent, for the sole purpose of (a) concluding accommodation reservations on the Property's behalf within the Property's Authorised Terms, and (b) receiving the Accommodation Amount from Travellers on the Property's behalf. aAlabu is not appointed, and does not act, as commercial agent of the Traveller in respect of the same transaction.
4. Property authority
The Property warrants that it owns, operates, manages, or is otherwise contractually authorised to distribute the accommodation listed under this Agreement; that it has full authority to enter into this Agreement; that it has authority to supply the inventory, rates, and content it provides; and that it can honour Bookings concluded within its Authorised Terms.
5. Listing and content
The Property grants aAlabu a non-exclusive, royalty-free licence to display, process (including resizing, optimising, and storing), and use property and room content supplied by the Property, for the purposes of booking, discovery, and marketing of that Property on the Platform. The Property warrants it holds the necessary rights to all content it supplies. aAlabu may edit formatting, standardise presentation, correct obvious errors, and structure supplied facts, but will not materially invent facts about the Property.
6. Inventory, rates and restrictions
The Property is responsible for the accuracy of all availability, rates, occupancy limits, restrictions, cancellation policies, room information, taxes/mandatory charges, transfer information, and property policies it supplies or authorises for distribution. Where the Property fails to close inventory it cannot honour, or supplies stale or incorrect information, the Property remains responsible for the consequences under Clause 8. This Agreement applies equally to manually maintained inventory and to inventory maintained through a future connectivity integration.
7. Booking conclusion
A Booking validly concluded by aAlabu through the Platform, within the Property's then-current Authorised Terms (inventory, rates, occupancy, restrictions, and policies as supplied or approved by the Property), is binding on the Property upon confirmation, in the same manner as if the Property had itself concluded it directly with the Traveller. This reflects that, for a new Booking, aAlabu's Platform ordinarily confirms a Booking immediately upon successful payment, without a separate Property-confirmation step; amendments to an existing Booking may separately require the Property's acceptance, as set out in aAlabu's Booking amendment process.
8. Accommodation fulfilment
Where the Property cannot honour a confirmed Booking, the Property must notify aAlabu promptly, and must use reasonable efforts to provide equivalent or better alternative accommodation for the affected Traveller at no additional cost. The Property bears the reasonable costs of relocation caused by its own failure to honour a Booking. The Property must not cancel a confirmed Booking merely to resell the accommodation at a higher rate.
9. Customer payments
aAlabu is authorised to receive the Accommodation Amount from Travellers on the Property's behalf, using aAlabu's payment provider. Payment of the Accommodation Amount by a Traveller to aAlabu discharges the Traveller's corresponding payment obligation to the Property in full, immediately upon aAlabu's receipt of that payment, regardless of the timing of aAlabu's subsequent settlement to the Property under Clause 11.
10. Commission
aAlabu's commission is calculated as set out in the Commercial Schedule. Promotional discounts and their effect on commission apply only as expressly agreed between aAlabu and the Property; in the absence of such express agreement, no promotional-discount commission treatment applies to that Property's Bookings.
11. Settlement
aAlabu will settle the Property, net of commission and any other amounts expressly agreed in the Commercial Schedule, according to the settlement currency, frequency, and method stated there — by default, monthly by bank transfer. The agreed settlement currency is specified in the Commercial Schedule. Any currency conversion arrangement or associated charges must be expressly agreed where applicable; this Agreement does not itself promise a conversion mechanism or exchange rate.
12. Cancellations, refunds and no-shows
The cancellation and refund terms applicable to a given Booking are those forming part of that Booking's frozen commercial terms at confirmation, as supplied or authorised by the Property. aAlabu may process refunds and payment reversals of the Accommodation Amount in accordance with those terms. The Property is responsible for the accuracy of the cancellation policy it supplies and for the consequences of the terms it authorised.
13. Payment disputes and chargebacks
Responsibility for a payment dispute or chargeback is allocated by cause: card fraud unrelated to the Property is borne by aAlabu; a dispute over accommodation quality or non-provision, or a Property cancellation/non-performance, is borne by the Property; an aAlabu processing error is borne by aAlabu.
14. Transfers
Where the Property requires, offers, or permits a transfer arrangement, the Property determines whether it is required, optional, or self-arrangeable. aAlabu may display and record the Traveller's transfer selection as part of the booking process. The transfer itself is supplied or arranged by the Property or its nominated transfer provider and is payable by the Traveller directly to the Property or that provider — aAlabu does not collect, hold, or process the transfer amount, and is not the transport supplier. The Property is responsible for the accuracy, pricing, fulfilment, and any refund of the transfer arrangement.
15. Taxes and mandatory charges
The Property is responsible for accurately supplying all applicable accommodation taxes, mandatory fees, government levies, and other mandatory property charges. Responsibility for collecting and remitting any such tax or levy depends on applicable local law and the actual payment mechanism used; the Property remains responsible for its own tax compliance in all cases. Nothing in this Agreement makes aAlabu universally responsible for remitting any accommodation tax.
16. Guest data and privacy
Each party processes guest personal data received in connection with a Booking as an independent data controller for its own purposes and by its own means — the Property is not aAlabu's data processor merely because it receives booking data through the Platform. Each party will use guest data only for booking, stay, and legal purposes; apply appropriate security measures; keep guest data confidential; and not use it for unrelated marketing without the guest's own lawful basis. Each party will notify the other without undue delay of any data breach affecting shared guest data.
17. Customer communications
The Property may contact a Traveller for legitimate booking or stay-related purposes connected to a confirmed Booking. The Property must not use guest details obtained through the Platform for unrelated, unsolicited marketing.
18. Reviews
aAlabu may display legitimate Traveller reviews and third-party reputation information about the Property. The Property may not require removal of a review merely because it is negative. aAlabu may moderate reviews for fraud, illegality, abuse, privacy violation, or breach of aAlabu's review policy.
19. Property policies
The Property is responsible for the accuracy of its stated policies (including check-in/out, child/occupancy, smoking, pets, deposits, identification requirements, and local rules), which must not conflict with applicable consumer protection or non-discrimination law.
20. Legal compliance and licensing
The Property warrants that it complies, and will continue to comply, with all laws applicable to operating and supplying its accommodation, and that it holds all licences, permits, and legally required insurance for that operation.
21. Suspension
aAlabu may suspend or delist the Property, including with immediate effect where necessary, for: safety or fraud concerns; material misinformation; repeated failure to honour Bookings; non-payment or settlement issues; legal or regulatory concern; serious customer harm; or breach of this Agreement.
22. Term and termination
This Agreement begins on acceptance and continues until terminated. Either party may terminate for convenience on 30 days' written notice. Either party may terminate or suspend immediately for serious breach, fraud, safety, or legal reasons. Bookings already confirmed before termination remain binding on both parties and must still be honoured and settled, unless otherwise required by law.
23. Confidentiality
Each party will keep confidential the other's non-public commercial terms, commission, settlement information, and technical/integration information, except information the Property itself makes publicly available.
24. Liability
Nothing in this Agreement excludes or limits either party's liability for fraud, or for death or personal injury caused by negligence, or for anything that cannot lawfully be excluded or limited. Subject to that, aAlabu's aggregate liability to the Property arising under this Agreement in any 12-month period is capped at the greater of (a) the total commission actually earned by aAlabu from that Property during that 12-month period, or (b) £1,000.00. The Property remains fully responsible for its own non-performance and for accommodation-related harm to guests. Neither party is liable to the other for indirect or consequential losses.
25. Indemnities
The Property indemnifies aAlabu against third-party claims arising from: the Property's unlawful operation; infringement by content the Property supplied; the Property's non-performance of a confirmed Booking; inaccurate mandatory information supplied by the Property; or guest injury legally attributable to the Property.
26. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control (including natural disaster, war, government action, pandemic, or failure of third-party infrastructure), provided it gives prompt notice and uses reasonable efforts to mitigate. Either party may terminate this Agreement if such an event continues for more than 60 days. This clause does not affect a Traveller's statutory rights under aAlabu's Customer Terms.
27. Changes to this Agreement
aAlabu may issue a new version of this Agreement's general terms from time to time. A new version does not apply retrospectively to a Property that has already accepted an earlier version, and does not alter the terms of a Booking already confirmed. A new version takes effect for a Property only once that Property has been given at least 30 days' advance notice and has accepted the new version. Until then, the Property's most recently accepted version continues to apply. If a Property does not accept a new version, either party may treat this as grounds for ordinary termination under Clause 22.
28. Notices
A notice under this Agreement is validly given if sent to the other party's business email address as recorded in the Commercial Schedule (or, for aAlabu, the address it publishes for this purpose), and is treated as received on the next business day. No postal notice is required unless applicable law mandates it for a specific notice type.
29. Governing law and acceptance
This Agreement is governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of its courts. This Agreement is accepted electronically by the Property's authorised representative — by self-service explicit acceptance, by explicit confirmation from the Property's business email, or by an externally signed or electronically signed document — as recorded by aAlabu at the time of acceptance.
